Agreement to Terms

These Terms of Service ("Terms") are a legally binding agreement between you and Cubeshell LLC ("Cubeshell," "we," "us," or "our") covering your use of cubeshell.com, the Cubeshell console, the Cubeshell MCP connection, and related services.

By accessing or using our services, you agree to these Terms. If you do not agree, do not use the services.

The Service

Cubeshell provides your workspace with access to tools through a single connection and a prepaid credit balance. When you invoke a tool, Cubeshell selects an eligible execution route according to quality, availability, price and your workspace policy, and transmits the request to a third-party service provider used to perform the requested operation.

Results are generated by those service providers and returned to you in a structured form together with a receipt. The set of available tools may change over time.

Credits and Billing

  • Credits are the unit the service charges in: the launch rate is $49 for 1,000 credits
  • Manual top-ups start at $49 and use the same rate without a larger-purchase discount
  • A manual purchase is limited to $1,000 per Checkout, and an automatic top-up is limited to $500
  • Purchased credits do not expire while your account remains open and in good standing. Promotional credits may carry an expiry stated when granted
  • Each tool call shows its maximum price before it runs, and nothing is charged without an explicit billable rule
  • Every charge comes with a receipt you can inspect in your workspace

Payments are processed by our payment processor. Credits are a prepayment for usage of the service and are not a currency, deposit, investment, or stored-value account. Credits have no cash value, cannot be cashed out, and cannot be sold or transferred to an unrelated customer. Members of a workspace use its shared balance. At our discretion, support may move unused purchased credits between workspaces under the same verified billing owner, provided no related payment is disputed. We record any such move.

Credit purchases are generally final and non-refundable. We provide refunds when required by applicable law and may refund a duplicate or unauthorized payment or a Cubeshell billing error. When a Cubeshell-controlled tool error causes an incorrect credit charge, our normal remedy is to restore the affected credits. Nothing in these Terms limits non-waivable consumer rights.

Tool Charges

Each tool has its own published billing rule. Most result-producing tools do not charge when no valid result is found. Some definitive checks charge for every completed check, including a negative answer. The tool list, tool profile, quote, and receipt identify the rule that applies.

A technical failure, a cancelled call before execution, or an outcome whose provider billing is unknown does not create a new retail charge. Cubeshell may temporarily hold a reservation while an unknown provider outcome is investigated, then capture or release it according to the snapshotted rule and evidence.

Payment Disputes

If a payment is disputed, reversed, charged back, or reasonably suspected to be fraudulent, we may disable automatic top-ups and pause new paid tool calls while we investigate. Credits tied to a reversed payment may be restricted or removed to the extent permitted by law. Please contact us before filing a payment dispute so we can investigate duplicate, unauthorized, or incorrect charges promptly. We may provide the payment processor with relevant account, acceptance, receipt, and usage records when responding to a dispute.

Use of Services

Eligibility

You must be at least 18 years old and able to enter into a binding contract to use our services. If you use the services for an organization, you represent that you have authority to bind it.

Account and Workspace

You need an account to use the service. You agree to:

  • Provide accurate, current, and complete information
  • Keep your sign-in credentials and MCP API tokens secure and confidential
  • Be responsible for all activity under your account and workspace, including tool calls made by AI agents and other software you connect
  • Notify us immediately of any unauthorized use

Acceptable Use

Connecting agents and automated clients through your MCP connection is what the service is for. You agree not to:

  • Use the services for any illegal purpose or in violation of applicable laws
  • Infringe the rights of others, including privacy and data protection rights in the inputs you submit
  • Interfere with or disrupt the services, or attempt to gain unauthorized access to our systems or other workspaces
  • Attempt to bypass pricing, charging, or workspace spend controls
  • Generate abusive request bursts, repeat calls to manipulate billing or provider systems, or evade operation, concurrency, or fraud controls
  • Resell access to the services without our written permission

Automated use through MCP clients such as Claude and Codex is expected. We may apply fair-use, spend, operation, concurrency, and security limits to protect customers and providers. Protocol setup, discovery, reconnects, and idempotent retries are not themselves billable tool operations. When possible, excess execution traffic is rejected before a provider call or credit movement and may be retried with the same request identifier.

Intellectual Property

Our Content

All content, features, and functionality of our services, including text, graphics, logos, software, and their compilation, are the exclusive property of Cubeshell LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your personal and internal business purposes, subject to these Terms.

Your Inputs and Results

You keep ownership of the inputs you submit through tool calls and the content of your workspace. You grant us the license necessary to operate the service: to process your inputs, transmit them to service providers for execution, return results, and retain the records that make your receipts and history auditable. You are responsible for holding the rights necessary to submit the inputs you use.

Results are generated by third-party service providers and from data sources Cubeshell does not control. You are responsible for how you use them.

Third-Party Services

Our services interoperate with third-party MCP clients and link to third-party websites we do not control. We assume no responsibility for their content, privacy policies, or practices, and we are not liable for damage or loss caused by your use of them.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability and fitness for a particular purpose
  • Warranties of non-infringement
  • Warranties that the services will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy or reliability of tool results or any information obtained through the services

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CUBESHELL LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to defend, indemnify, and hold harmless Cubeshell LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any rights of a third party.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the services ceases immediately. Provisions that by their nature should survive termination survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Wyoming for the resolution of any disputes.

Changes to Terms

We may modify or replace these Terms at any time at our sole discretion. If we make material changes, we will post the updated Terms on this page and update the "Last updated" date. Your continued use of the services after changes take effect constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
